Terms and Conditions

Registration and participation by developers in the AMD OpenCL Coding Competition Challenge, Powered by TopCoder (the “Challenge”) constitutes agreement with these terms and conditions (“Rules” or “Terms and Conditions”) between you (“You” or “Participant”) and TopCoder, Inc. (“TopCoder”).
This skill-based Challenge is brought to you and is sponsored by TopCoder. The Challenge will be broken into two (2) competition paths: the Innovation Challenge and the Performance Challenge.
The Innovation Challenge is designed to encourage the development and use of certain technologies, and provides an opportunity for members of the TopCoder Community to create an original application using the AMD Accelerated Parallel Processing Technology SDK (“Specified Technology”). TopCoder and AMD (the “Corporate Participant”) invite You and You agree to submit entries for prizes to be awarded in the Innovation Challenge competition in accordance with these Terms and Conditions.
The Performance Challenge is designed to encourage the development and use of certain technologies, and provides an opportunity for members of the TopCoder Community to optimize a given algorithm using the AMD Accelerated Parallel Processing Technology (“Specified Technology”). TopCoder and AMD (the “Corporate Participant”) invite You and You agree to submit entries for prizes to be awarded in the Performance Challenge competitions in accordance with these Terms and Conditions.
The Challenge is governed by the laws of the United States and the State of Connecticut, and You hereby consent to the exclusive jurisdiction and venue of the courts in Hartford, Connecticut (state and federal) for any causes or controversies arising out of participation in the Innovation Challenge.
If You do not agree to abide by these Terms and Conditions, please do not participate in the Challenge. The Innovation Challenge competition is also subject to Standard Terms for TopCoder Competitions v1.0 (“Standard Terms”). In the event of a conflict or inconsistency between these Rules and the Standard Terms, these Rules shall govern.
The Performance Challenge competitions are also subject to Standard Terms for TopCoder Competitions v1.0 (“Standard Terms”). In the event of a conflict or inconsistency between these Rules and the Standard Terms, these Rules shall govern. A competition is a Performance Challenge-related competition if it is identified as such on the competition’s landing page.
Participants may participate in the Innovation Challenge and/or one or more competitions of the Performance Challenge without restriction.
The Challenge is designed to encourage the development and use of the Specified Technology. Participation in the Challenge is limited to registered members of the TopCoder Community. The Challenge is not open to non-members or to the general public. Those wishing to learn more about the TopCoder Community can find more information at: http://www.topcoder.com.
TopCoder and the Corporate Participant reserve the right to limit the participation of any person in the Challenge, amend or interpret the Terms and Conditions or official communications governing the Challenge or cancel the Challenge for any reason with prior notice. Notices for any such amendment, interpretation or cancellation will be deemed to have been given by posting on the TopCoder website and by virtue of Your continued participation in the Challenge. You may terminate participation in the Challenge upon written notice to TopCoder.
The Challenge is open to all members of the TopCoder website, who have agreed to the terms thereof, and who are at least 18 years of age as of the date You register for the Challenge. Competitors must be (i) a U.S. citizen, (ii) a lawful permanent resident of the U.S., (iii) a temporary resident, asylee, refugee of the U.S., or have a lawfully issued work authorization card permitting unrestricted employment in the U.S., (iv) a non-U.S. resident authorized in the country in which the member resides while participating in the Challenge to perform services as an independent contractor; or (v) be in the United States under a valid and current visa issued by the United States government which does not prohibit receiving a cash prize.
A Competitor is not eligible for the Challenge if he/she is a resident of the Quebec province of Canada, Iran, Cuba, North Korea, Sudan, Burma/Myanmar or Syria. In addition, a Competitor is not eligible for the Challenge if the Competitor is on the Specially Designated National list promulgated and amended, from time to time, by the United States Department of the Treasury.
All Competitors must be registered members of TopCoder, and must have agreed to these Rules prior to and as a condition for registering and participating in the Challenge.
Current employees of TopCoder and Corporate Participant and those involved in the development, production (including prize suppliers and sponsors), implementation and distribution of the Challenge and their advertising or promotion agencies, parent companies, service providers, agents, officers, subsidiaries or affiliates, or any other persons or entities directly associated with the Challenge and members of their immediate families and/or persons living in the same household as such persons, are ineligible to enter the Challenge.
If You are a minor in the country or state in which you reside we will award the prize to your parent or legal guardian, who must sign all documents required under these Rules.
If You are a winner and You (i) do not reply to such notification or the notification is undeliverable, (ii) do not return promptly any required documentation, or (iii) are not otherwise in compliance with these Rules, You will be disqualified and forfeit any prize, and we may, at our discretion, select and notify another participant.
All federal, state and local laws and regulations apply. Void where prohibited.
HOW TO ENTER
To participate, You must:
- Be a TopCoder Community member by registering at http://www.topcoder.com/reg/
- Participate in a Challenge-related competition

- Does not include or anticipate the inclusion of any unsuitable or offensive content, including nudity, sexually explicit, disparaging, libelous or other inappropriate content.
- Does not include or anticipate the inclusion of any content that is in violation of or infringes third party intellectual property rights including, but not limited to copyrights, including music copyrights, trademarks, and rights of publicity.
- Has not been entered in previous contests, or won previous awards.
- Has not been published or distributed previously in any media.
- Is suitable for a general audience;
- Does not contain any claims that are not and cannot be substantiated or that would be false and/or misleading to a reasonable consumer.
All decisions relating to the viability of submissions and all other matters (except the ranking of submissions) pertaining to the Challenge are within the sole discretion of TopCoder or its designee and shall be final and binding in all respects.

Submissions will be evaluated, judged and ranked by Corporate Participant in each Challenge-related competition in its sole discretion. All decisions of Corporate Participant regarding the evaluation, judging, ranking and determination of the winner(s) in each Challenge-related competition shall be final and binding in all respects.
Corporate Participant will judge submissions on the following criteria, in order of importance:
- Benefits derived from utilization specifically from AMD Fusion architecture
- Novelty, creativity and innovation
- Algorithm and implementation efficiency and processor utilization
- Quality of software engineer, including usage of advanced features such as local data store, images, buffer flags, etc…
- Commercial potential
- Open Source potential
- Magnitude of effort
The submission that returns the correct results in the shortest amount of time wins.
Prize amounts will be set forth on the landing page for each Challenge-related competition. Prize money totaling $50,000 (USD) will be awarded during the Challenge. Currently, TopCoder anticipates awarding prizes in the following amounts:

ORIGINAL WORK/LEGAL COMPLIANCE
By submitting an entry, You represent that such entry is your own, original work. An entry may be disqualified if TopCoder or the Corporate Participant believes in their sole discretion that such entry does not comply with these Terms and Conditions, infringes or violates the rights of any third party, contains inappropriate content, or is in violation of any law or regulation.
PERMISSION TO DISPLAY AND LINK TO SUBMISSION
As consideration for participating in the Challenge, submission of an entry constitutes permission for TopCoder and the Corporate Participant to use Your name, address, likeness and general information about the winning entry submitted by You for promotional and advertising purposes without further permission or compensation.
LICENSE TO WINNING SUBMISSIONS
Competitors retain all ownership rights in their Submissions. However, if you win a prize for your submission, You hereby grant and agree to grant a perpetual, royalty-free, irrevocable, transferable, sub-licensable, non-exclusive license to TopCoder and Corporate Participant (a) to use, reproduce and publish submissions or material in connection with the Challenge; (b) to publicly display, and/or feature your submission and all its content in connection with the promotion of the Challenge in all media (now known or later developed); and (c) store your submission on TopCoder’s and Corporate Participant’s servers, for marketing purposes, and/or for the promotion of the Challenge.
If You do not win a prize for your submission, then You retain any and all rights to ownership of such material submitted to TopCoder. TopCoder will not gain ownership of this material. However, by submitting Your submission to TopCoder, You hereby grant TopCoder and Corporate Participant a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce and publish such documents, materials or source code for commercial and/or non-commercial use.
You agree to sign any necessary documentation that may be required by TopCoder, its designees or Corporate Participant to make use of the rights you granted above.
Nothing in these Rules shall be construed as granting you any right or license under any intellectual property right of TopCoder or Corporate Participant (including any rights they may have in any patents, copyrights, trademarks, service marks or any trade secrets) or in TopCoder’s web site, by implication, estoppel or otherwise, except as may be expressly set forth herein.
You agree that submitting Your submission in the Challenge constitutes Your waiver, to the extent permitted by law, of all moral rights conferred upon You or arising in respect of Your Submission anywhere in the world. Without prejudice to the foregoing, You hereby consent without recourse to any use of Submission by Corporate Participant, Advanced Micro Devices, Inc., or any of its licensees, successors or assigns, which would infringe, anywhere in the world, any of Your moral rights in the Submission.
NO ADDITIONAL RIGHTS FROM SUBMISSION
By participating in the Challenge, You acknowledge and agree that it is possible that others, including TopCoder and/or Corporate Participant, may have developed or develop applications that are similar in function, appearance, action, name, character, or in other ways appear to resemble the entry submitted, and that such duplication or similarity between Your entry and any other’s shall in no way entitle You to any compensation from TopCoder, the Corporate Participant, or any third party.
CONDUCT OF CHALLENGE
TopCoder and the Corporate Participant reserve the right, in their sole discretion, to revoke any and all privileges associated with competing in this Challenge, and to take any other action they deem appropriate, for no reason or any reason whatsoever, including if TopCoder or a Corporate Participant suspect competitors of cheating, tampering with the entry process, the operation of the Web site, or the Challenge, or otherwise being in violation of the rules.
CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CHALLENGE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, TOPCODER RESERVES THE RIGHT TO SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.
By participating in the Challenge and/or acceptance of a prize, You acknowledge and agree that Corporate Participant and TopCoder, their affiliates, directors, employees and agents shall not be liable for, and will be held harmless by and against any liability for any damage, injury or loss to person or property due in whole or in part, directly or indirectly to acceptance, possession or use or misuse of a Challenge entry, Challenge prize, participation in any Challenge related activity, or other rights granted herein or participation in this Challenge.
By participating in this Challenge, You agree, where legally permitted, to release and hold harmless TopCoder, the Corporate Participant and their respective subsidiaries, affiliates, advertising and promotions agencies, prize suppliers, and all of their employees, officers, directors, shareholders and agents (collectively “Releasees”) from and against any and all liability for any loss, property damage, or damage to any person, including without limitation, death and injury, due in whole or in part, directly or indirectly, from or arising out of participation in this Challenge or any related activity, or the receipt, use or misuse of any prize. TopCoder and the Corporate Participant specifically disclaim all liability associated with, and make no warranties with regard to, any prize given.
Releasees assume no responsibility for lost, late, illegible, garbled or misdirected entries, or for any computer, online, telephone, human, or other error or for any technical or other malfunctions that may occur including any injury or damage to Your or any other person’s computer relating to or resulting from participation in this Challenge or downloading any materials in connection with this Challenge.
If for any reason this Challenge is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, uploads of malicious files or viruses, or any other causes beyond the reasonable control of TopCoder or the Corporate Participant which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Challenge, TopCoder and the Corporate Participant reserve the right at their sole discretion, to disqualify any entry or any individual who tampers with the entry or judging process, and to cancel, terminate, modify or suspend this Challenge and select winners using all eligible, non-suspect entries received as of the date of termination. Releasees assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries.
In those states which do not allow the limitation of liability or exclusion of liability for incidental or consequential damages; the above limitations may not apply.
THIRD PARTY SERVICES/COPYRIGHT NOTICE
You agree to be bound by all applicable terms and conditions governing access to TopCoder, Corporate Participant, or third party services. All technologies and Challenge related functionality, media and promotional materials are the intellectual property of either the Corporate Participant or TopCoder and are protected by applicable copyright, trademark, patent and related proprietary laws.
WARRANTY AND INDEMNIFICATION
You must not cheat, and must submit your own, original work. You warrant to TopCoder and the Corporate Participant that your entry is original, that you are the creator and owner of the submitted entry, that you have the unencumbered right to submit the entry, that the entry does not infringe any proprietary, intellectual property, personal rights or other third party rights including copyright, trademark, patent, trade secret or confidentiality obligation and is in compliance with applicable law. To the maximum extent permitted by law, You agree to indemnify and hold Corporate Participant and TopCoder, their subsidiaries, affiliates, and their employees, agents and directors harmless from any third party claim arising from the act, default or omission of You pertaining to the Challenge and breach of any warranty set forth herein.
You are solely responsible for any and all taxes, costs, and expenses associated with the receipt of or use of any prize, including duties (where applicable).
Participation in this Challenge is void where prohibited by law. If any provision of these Rules is held to be invalid or unenforceable, all remaining provisions will remain in full force and effect. This Challenge is subject to and governed by the laws of the United States and the State of Connecticut. You agree that in no event shall You have the right to enjoin or prevent the production, distribution, exhibition, use, advertising or promotion of the submission, Corporate Participant technology or related and or derivative applications or products. TopCoder reserves the right, in its sole discretion, to revoke any and all privileges associated with competing in the Challenge.
